A Suzaku HXD spectrum above 10 keV and its variation, in combination with those with XIS, provide us with an unique opportunity to determine unambiguously the physical state of ULXs, which is a key information to solve their nature. Here, two 80 ks Suzaku exposures are proposed on a bright ULX IC 342 X2, one of the most promising candidates for hard X-ray detection.
