************************************************************************* 63025 Our new, soft-X-ray-selected, dusty warm-absorber candidate IRAS12397+3333 shows a unique set of properties, linking three of the most interesting phenomena in AGN research: the FeII problem, the nature and location of warm absorbers, and the role of Unified Schemes. It is a Narrow Line Sey 1, unexpectedly dusty for its high luminosity (1E11 Lsuns). It shows high optical reddening and scattering polarization up to 7%, implying aspect-dependent views. Lack of cold absorption in its steep, rapidly-variable soft-X-ray spectrum hints at warm dusty absorbers - consistent with its complex ROSAT spectrum. With our spectropolarimetry, our proposed ASCA measurement of the probable warm absorbers, and the 0.5 - 9 keV continuum, will allow a powerful probe of parsec-scale dusty ionized gas. *************************************************************************
