   We intend to aim for a complete ASCA observations of a hard X-ray flux-
   limited sample. In addition to 31 Piccinotti AGNs, almost all of which
   have already been observed by ASCA, we define a sample of 21 additional
   AGNs from the deeper MC-LASS catalog in a selected region. Among them
   14 have already observed by ASCA and we propose to observe the
   remaining 7 AGNs. With the complete ASCA measurements of such a well-
   defined complete sample, we obtain key constraints on the population
   synthesis models of the cosmic X-ray background and unified scheme of
   AGNs through, e.g. absorption distribution and Luminosity-absorption
   correlation.
